Together with our Privacy Policy and any other applicable terms, they form a legal agreement (the &#8220;Agreement&#8221;) between: You, the user; and UAB Europe Exchange.<br>By registering for or using our services, you accept and agree to be bound by these Terms. They apply whenever you access our platform, whether via our website, app, or other means. You may stop using our services at any time, at no cost, by requesting account deletion or terminating this Agreement (see Section 11).<\/p>\n\n\n\n<p>About Us<br>We are UAB Europe Exchange, a Lithuania-based company, registration number 307035124, with registered offices at Vilnius, \u017dalgirio g. 88-101, LT-09303, Lithuania. As a licensed provider under EU regulations, we offer secure fiat-to-crypto, crypto-to-crypto, crypto-to-fiat and OTC trading services.<br>Contact us at: support@uabexchange.com or via our website at https:\/\/uabexchange.com.<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Definitions<br>In this Agreement:<br>&#8220;We&#8221; or &#8220;Us&#8221; refers to UAB Europe Exchange.<br>&#8220;You&#8221; refers to the user of our Services.<br>&#8220;App&#8221; means the \u2018UAB Exchange\u2019 mobile application.<br>&#8220;Business Day&#8221; means a European business day, ending at 17:00 EEST.<br>&#8220;Crypto Wallet&#8221; means a digital wallet registered in your name on our platform, used to hold cryptocurrencies or fiat currencies for trading.<br>&#8220;Payment Method&#8221; means a valid payment option (e.g., debit\/credit card, bank transfer) used to fund your Crypto Wallet or execute trades.<br>&#8220;Recipient&#8221; means the party receiving cryptocurrencies or fiat from a transaction.<br>&#8220;Security Details&#8221; means your account credentials, including passwords, Two-Factor Authentication (2FA) codes, or other login information.<br>&#8220;Services&#8221; means our cryptocurrency exchange services, including fiat-to-crypto, crypto-to-crypto, crypto-to-fiat and OTC trading services.<br>&#8220;Service Fee&#8221; means the fee displayed before you confirm a transaction.<br>&#8220;Transaction History&#8221; means the record of your trades on our platform.<br>&#8220;Website&#8221; means uabexchange.com and its associated portals.<\/li>\n\n\n\n<li>Using the Services<br>2.1. Our Services allow you to:<\/li>\n<\/ol>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Open an account with a Crypto Wallet to hold fiat (e.g., EUR) and cryptocurrencies;<\/li>\n\n\n\n<li>Buy, sell, or trade cryptocurrencies using fiat, debit\/credit cards, or bank transfers;<\/li>\n\n\n\n<li>Access Over-The-Counter (OTC) trading for large-volume transactions;<\/li>\n\n\n\n<li>View your Transaction History and manage your account settings.<\/li>\n<\/ul>\n\n\n\n<p>2.2. To use the Services, register via our Website or download the App (e.g., from Apple App Store or Google Play) and follow the instructions.<\/p>\n\n\n\n<p>2.3. After registering and logging in, you can:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Fund your Crypto Wallet using a Payment Method;<\/li>\n\n\n\n<li>Execute trades instantly with real-time pricing;<\/li>\n\n\n\n<li>Request withdrawals of fiat or crypto balances;<\/li>\n\n\n\n<li>Access OTC services for bespoke trades;<\/li>\n\n\n\n<li>Monitor and manage your account.<\/li>\n<\/ul>\n\n\n\n<p>2.4. These Terms apply to each transaction individually.<\/p>\n\n\n\n<p>2.5. App updates may be issued via App Store or Google Play. You must download the latest version to continue using the Services uninterrupted.<\/p>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li>Your Obligations<br>3.1. You must be at least 18 years old and a resident of a supported EU country to use the Services.<\/li>\n<\/ol>\n\n\n\n<p>3.2. Under EU regulations (e.g., AML, KYC, MiCA), we conduct due diligence on you and other parties (e.g., Recipients). We may verify your identity, address, and financial details, including checks via credit reference agencies, which may record your information. You agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Provide accurate, truthful information and any requested identity documents;<\/li>\n\n\n\n<li>Update your details promptly if they change;<\/li>\n\n\n\n<li>Comply with additional information requests;<\/li>\n\n\n\n<li>Allow us, or third parties on our behalf, to validate your information via databases or reports.<\/li>\n<\/ul>\n\n\n\n<p>3.3. You consent to us processing your personal data to provide the Services, in line with our Privacy Policy and GDPR.<\/p>\n\n\n\n<p>3.4. You must protect your Security Details to prevent unauthorised access by:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Regularly updating your password and avoiding reuse across platforms;<\/li>\n\n\n\n<li>Never sharing Security Details, including with us, and notifying us immediately if requested by others;<\/li>\n\n\n\n<li>Enabling 2FA where prompted;<\/li>\n\n\n\n<li>Securing your email account and informing us if it\u2019s compromised;<\/li>\n\n\n\n<li>Contacting us instantly at support@uabexchange.com if your Security Details are stolen, lost, or misused, and updating them promptly. Delays may make you liable for losses.<\/li>\n<\/ul>\n\n\n\n<p>3.5. You must not:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Use the Services for illegal activities (e.g., money laundering, fraud, terrorist financing);<\/li>\n\n\n\n<li>Engage in prohibited transactions (e.g., involving firearms or controlled substances);<\/li>\n\n\n\n<li>Introduce malicious software (e.g., viruses, trojans) or attempt unauthorised access to our systems;<\/li>\n\n\n\n<li>Create multiple accounts without our written permission;<\/li>\n\n\n\n<li>Trade on behalf of others or allow others to use your account;<\/li>\n\n\n\n<li>Provide false or misleading information;<\/li>\n\n\n\n<li>Refuse to provide requested verification or cooperate with investigations.<\/li>\n<\/ul>\n\n\n\n<ol class=\"wp-block-list\">\n<li>UAB Exchange Services<br>Funding Your Crypto Wallet:<br>4.1. You may fund your Crypto Wallet using a Payment Method in your name (e.g., debit\/credit card, bank transfer) accepted by our platform.<\/li>\n<\/ol>\n\n\n\n<p>4.2. Supported fiat currencies include EUR and others listed on our Website.<\/p>\n\n\n\n<p>Trading Cryptocurrencies:<br>4.3. You can buy, sell, or trade cryptocurrencies (e.g., Bitcoin, Ethereum, Stable Coins) instantly, with pricing displayed before confirmation.<\/p>\n\n\n\n<p>4.4. For crypto-to-crypto trades, ensure the Recipient\u2019s wallet address is correct. Incorrect addresses may result in irreversible loss, for which we are not liable.<\/p>\n\n\n\n<p>4.5. OTC services are available for high-volume trades, offering bespoke execution, deep liquidity, and personalised support. Contact us at support@uabexchange.com for details.<\/p>\n\n\n\n<p>Transaction Confirmation:<br>4.6. We\u2019ll confirm completed transactions via the App or email. Delays may occur due to blockchain confirmations or third-party systems, but we aim for swift execution.<\/p>\n\n\n\n<p>Security<br>4.7. Your assets are protected by cold storage (98% offline), AES-256 encryption, and 24\/7 monitoring, ensuring compliance with EU cybersecurity standards.<\/p>\n\n\n\n<ol start=\"5\" class=\"wp-block-list\">\n<li>Cancellations<br>5.1. Once you confirm a trade or transfer, it is executed immediately and cannot be cancelled, as per EU payment service regulations.<\/li>\n<\/ol>\n\n\n\n<p>5.2. Verify all details (e.g., wallet addresses, amounts) before confirming, as we cannot reverse transactions sent to incorrect recipients.<\/p>\n\n\n\n<ol start=\"6\" class=\"wp-block-list\">\n<li>Our Right to Refuse, Delay, or Suspend Services<br>6.1. We may apply limits to Crypto Wallet funding or trading volumes, as displayed on our platform.<\/li>\n<\/ol>\n\n\n\n<p>6.2. We may delay or suspend Services to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Verify your identity or transaction details;<\/li>\n\n\n\n<li>Respond to security alerts;<\/li>\n\n\n\n<li>Address system outages or blockchain issues;<\/li>\n\n\n\n<li>Comply with EU laws (e.g., AML, MiCA).<\/li>\n<\/ul>\n\n\n\n<p>6.3. We may refuse a transaction or suspend your account if:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>It exceeds limits;<\/li>\n\n\n\n<li>It breaches these Terms;<\/li>\n\n\n\n<li>It appears unauthorised, fraudulent, or illegal;<\/li>\n\n\n\n<li>It violates EU regulations.<\/li>\n<\/ul>\n\n\n\n<p>6.4. We\u2019ll notify you of refusals or suspensions promptly, unless prohibited by law or security concerns.<\/p>\n\n\n\n<ol start=\"7\" class=\"wp-block-list\">\n<li>Refunds<br>7.1. You may request a refund within 24 hours if:<\/li>\n<\/ol>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A transaction was unauthorised;<\/li>\n\n\n\n<li>We failed to execute it correctly (e.g., wrong amount or Recipient).<\/li>\n<\/ul>\n\n\n\n<p>7.2. Refunds may be denied if:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You acted negligently or fraudulently;<\/li>\n\n\n\n<li>You failed to secure your Security Details;<\/li>\n\n\n\n<li>The Recipient received the correct funds;<\/li>\n\n\n\n<li>You provided incorrect transaction details.<\/li>\n<\/ul>\n\n\n\n<p>7.3. To request a refund, email <strong>support@uabexchange.com<\/strong> within 24 hours, including your name, transaction number, amount, and reason.<\/p>\n\n\n\n<p>7.4. Refunds will be credited to your Crypto Wallet or original Payment Method in the transaction\u2019s currency (e.g., EUR).<\/p>\n\n\n\n<p>7.5. For Wallet balances, you may request a refund of unspent funds (excluding promotional credits) at any time, subject to verification.<\/p>\n\n\n\n<ol start=\"8\" class=\"wp-block-list\">\n<li>Reporting Errors<br>8.1. If you believe there\u2019s an error with a transaction, contact us within 7 days at:<\/li>\n<\/ol>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Email: support@uabexchange.com<\/li>\n\n\n\n<li>Post: Vilnius, \u017dalgirio g. 88-101, LT-09303, Lithuania<\/li>\n<\/ul>\n\n\n\n<p>8.2. Provide:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your name and email;<\/li>\n\n\n\n<li>The error and its reason;<\/li>\n\n\n\n<li>Recipient details (if known);<\/li>\n\n\n\n<li>Transaction amount and reference number.<\/li>\n<\/ul>\n\n\n\n<p>8.3. We\u2019ll investigate and respond within 30 days, correcting errors promptly. If no error is found, we\u2019ll provide a written explanation within three Business Days.<\/p>\n\n\n\n<ol start=\"9\" class=\"wp-block-list\">\n<li>Our Responsibility<br>9.1. We\u2019ll provide the Services with reasonable care, but availability may vary due to regional or blockchain constraints.<\/li>\n<\/ol>\n\n\n\n<p>9.2. If we breach this Agreement, causing you loss, we\u2019ll refund the transaction amount and Service Fees, provided you submit relevant documentation.<\/p>\n\n\n\n<p>9.3. Our liability is capped at the greater of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Service Fee paid; or<\/li>\n\n\n\n<li>\u20ac50 per incident, unless otherwise required by EU law.<\/li>\n<\/ul>\n\n\n\n<p>9.4. We\u2019re not liable for losses due to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Unforeseen events (e.g., network or blockchain failures);<\/li>\n\n\n\n<li>Your breach of this Agreement;<\/li>\n\n\n\n<li>Third-party actions (e.g., Recipient errors);<\/li>\n\n\n\n<li>Compliance with EU laws;<\/li>\n\n\n\n<li>Incorrect information you provided.<\/li>\n<\/ul>\n\n\n\n<p>9.5. Funds are your responsibility once delivered to the Recipient\u2019s wallet or account.<\/p>\n\n\n\n<p>9.6. Our Services are for personal use. For commercial use, we\u2019re not liable for lost profits, business interruption, or indirect damages.<\/p>\n\n\n\n<ol start=\"10\" class=\"wp-block-list\">\n<li>Compliance with EU Regulations<br>10.1. As a licensed provider under EU law, we adhere to:<br>GDPR: Ensuring your data is processed lawfully, with rights to access, rectify, or erase it.<br>AML\/KYC: Conducting identity and transaction monitoring to prevent financial crime.<br>MiCA: Complying with crypto-asset regulations for transparency and consumer protection.<\/li>\n<\/ol>\n\n\n\n<p>10.2. You consent to data processing for compliance purposes, as detailed in our Privacy Policy.<\/p>\n\n\n\n<ol start=\"11\" class=\"wp-block-list\">\n<li>Changes to These Terms<br>11.1. We may amend these Terms due to:<\/li>\n<\/ol>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Changes in EU laws (e.g., GDPR, MiCA);<\/li>\n\n\n\n<li>Improvements or clarifications for users;<\/li>\n\n\n\n<li>Cost or business model changes;<\/li>\n\n\n\n<li>New services or security needs.<\/li>\n<\/ul>\n\n\n\n<p>11.2. We\u2019ll notify you of changes at least one month in advance via email or the App, unless immediate changes are required by law.<\/p>\n\n\n\n<ol start=\"12\" class=\"wp-block-list\">\n<li>Ending the Agreement<br>12.1. This Agreement continues until terminated by you or us.<\/li>\n<\/ol>\n\n\n\n<p>12.2. You may terminate at any time, free of charge, by emailing support@uabexchange.com.<\/p>\n\n\n\n<p>12.3. We may terminate with two months\u2019 notice or immediately if:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You engage in fraud or illegal activity;<\/li>\n\n\n\n<li>We\u2019re required by EU law or authorities;<\/li>\n\n\n\n<li>You provide false information;<\/li>\n\n\n\n<li>You breach these Terms persistently.<\/li>\n<\/ul>\n\n\n\n<p>12.4. Upon termination, we\u2019ll stop new transactions, process pending ones, and refund Wallet balances (if possible) within one year, after which unclaimed funds are forfeited.<\/p>\n\n\n\n<ol start=\"13\" class=\"wp-block-list\">\n<li>Complaints<br>13.1. Submit complaints to support@uabexchange.com. We\u2019ll acknowledge them promptly and aim to resolve within 15 Business Days.<\/li>\n<\/ol>\n\n\n\n<p>13.2. If delayed, we\u2019ll inform you of timelines. If unsatisfied, you may escalate to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Bank of Lithuania (supervisory authority);<\/li>\n\n\n\n<li>The European Commission\u2019s Online Dispute Resolution platform (<strong>https:\/\/ec.europa.eu\/odr<\/strong>).<\/li>\n<\/ul>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Fees and Rates<br>14.1. Service Fees and exchange rates are displayed before you confirm a transaction. You\u2019re responsible for all applicable fees.<\/li>\n<\/ol>\n\n\n\n<p>14.2. OTC trades may incur bespoke fees, agreed upon in advance.<\/p>\n\n\n\n<ol start=\"15\" class=\"wp-block-list\">\n<li>Intellectual Property<br>15.1. Our Website, App, and Services, including all copyrights, trademarks, and patents, are owned by us or licensed third parties.<\/li>\n<\/ol>\n\n\n\n<p>15.2. You may use them only for personal trading as permitted by these Terms. You must not copy, modify, or distribute any part without our written consent.<\/p>\n\n\n\n<ol start=\"16\" class=\"wp-block-list\">\n<li>Electronic Communications<br>16.1. All communications (e.g., Transaction History, notices) are provided electronically via the App, Website, or email.<\/li>\n<\/ol>\n\n\n\n<p>16.2. To withdraw electronic consent, email support@uabexchange.com, but this will terminate your Services.<\/p>\n\n\n\n<p>16.3. You can access these Terms anytime on our Website or request a copy via email.<\/p>\n\n\n\n<ol start=\"17\" class=\"wp-block-list\">\n<li>General<br>17.1. Governing Law: These Terms are governed by Lithuanian law, per our EU licensing.<\/li>\n<\/ol>\n\n\n\n<p>17.2. Disputes: Disputes may be brought before Lithuanian courts or via EU dispute resolution mechanisms.<\/p>\n\n\n\n<p>17.3. Language: We communicate in English (or other languages as notified).<\/p>\n\n\n\n<p>17.4. No Waiver: Delaying enforcement doesn\u2019t waive our rights.<\/p>\n\n\n\n<p>17.5. Assignment: You may not transfer your rights; we may assign ours without consent.<\/p>\n\n\n\n<p>17.6.
